Mate Service Terms of Use
These Terms of Service govern the use of the Wadiz Mate Service.

Article 1 (Purpose)
The purpose of these Terms of Service for the Mate Service (hereinafter referred to as the “Terms”) is to define the rights, obligations, and relevant procedures between Wadiz Inc. (hereinafter referred to as the “Company”) and users of the Mate Service provided by the Company (hereinafter referred to as the “Maker”).
Article 2 (Definitions)
The definitions of terms used in these Terms and Conditions are as follows. Unless otherwise defined below, the definitions of terms used in these Terms and Conditions shall follow the Terms of Service posted on the Wadiz website. In cases not specified in the Wadiz Terms of Service, the definitions shall be governed by applicable laws and regulations; where applicable laws and regulations do not provide for such definitions, they shall be determined in accordance with general commercial practices.
- General
a. “Mate” refers to an individual freelancer who has entered into a business partnership with the Company and provides services such as planning, story filming, and design.
b. “Story” refers to the detailed page of a project that a “Maker” intends to run on the Wadiz website, encompassing information or materials such as text, audio, video, and images.
c. “Interview Guide” refers to a document prepared by the Maker for Mate matching and detail page creation, containing information about rewards and the Maker, as well as requests regarding the direction of the work.
d. “Materials” refers to information, documents, opinions, product samples, etc., that a Mate requests from a Maker in order to commence work.
e. “Number of Revisions” refers to the number of times the Maker may request revisions or changes to the Mate’s work.
f. “Story Upload” refers to the process of uploading a Wadiz detail page within Maker Studio.
g. “Review Revision” refers to the process of incorporating changes requested by Wadiz regarding the story after the project has been submitted to Maker Studio.
h. “Work Period” refers to the period from the time the Mate commences work on producing the Maker’s story until all services specified in the contract are completed.
i. “Scope of Use of the Work” refers to the scope within which the Wadiz story provided through the Mate Service may be displayed on channels other than Wadiz.
j. “Original” refers to files that have not been modified or altered by Mate after filming or design work.
k. “Service Fee” refers to the fee paid by “Wadiz” to the “Mate” for the services provided to the “Maker,” and is defined as the amount remaining after deducting the “Matching Fee” from the service fee paid by the “Maker” to “Wadiz.”
l. “Matching Fee” means the amount paid by the “Maker” to “Wadiz” in exchange for “Wadiz” matching the “Maker” with a “Mate” and managing the service.
m. “Cancellation Fee” refers to a portion of the “Service Fee” that must be paid to the “Mate,” taking into account the “Mate’s” work progress, if the “Mate” has already commenced work at the time the “Maker” requests termination of the Service Agreement.
- Story Planning
a. “Story Planning” refers to the final document created by analyzing rewards and structuring the project’s narrative in accordance with the provided planning template.
b. “Planning Proposal” refers to a document that outlines the story structure for the Wadiz detail page, based on the interview notes provided by the maker and in accordance with the company’s established specifications and templates.
- Story Shoot
a.“Story Photography” refers to the process of photographing, editing, and creating GIF files of products or services provided as rewards for the “Maker” to create their story.
b. “Cutout shots” refer to photographs taken with only the product placed against a white background, primarily used for compositing.
c. ““Detail Shot”” refers to a photograph taken with a focus on a specific part of the product to allow for detailed inspection.
d. “GIF Footage” refers to work created to highlight important or emphasized parts within a story by animating photos or text.
e. “Shooting time” refers to the period from the time the studio, equipment, and personnel are prepared to take the photos needed for the story until the moment the photo shoot is fully completed.
f. “Edited photos” refer to photos in which Mate has adjusted the color tones and other elements to match the story’s tone and style after the photo shoot is complete.
- Story Design
a.“Story Design” refers to all work involved in visualizing content based on the planning proposal and footage provided by the Maker, in accordance with a predetermined “story” layout.
b. “Design Proposal” refers to a document that structures the Wadiz detail page using the design structure, templates, and editor established by the company, based on the reward photos and planning proposal sources provided by the Maker.
c. “Wadiz Editor” refers to the story input program within Maker Studio.
Article 3 (Effectiveness and Amendment of the Terms and Conditions)
These Terms and Conditions Wadiz Partner Zone. These Terms and Conditions do not take effect if the Mate Service application and contract procedures have not been completed.
- The Maker’s agreement to these Terms and Conditions shall have the same legal effect as the execution of a service agreement with the official seals of both parties affixed.
- The Company posts these Terms and Conditions on the Wadiz Partner Zone service screen so that users can easily review them.
- The Company may establish separate terms and conditions regarding specific aspects of the Mate Service (hereinafter referred to as the “Individual Terms”), and if the Maker agrees to the Individual Terms, the Individual Terms shall take precedence.
- Once a Maker agrees to these Terms and Conditions, all actions taken through the Maker’s account on the Wadiz Partner Zone shall be deemed to be the Maker’s actions.
- The Company may amend these Terms and Conditions to the extent that such amendments do not violate relevant laws, including the “Act on the Regulation of Terms and Conditions” and the “Act on the Promotion of Information and Communications Network Utilization and Information Protection, etc.”
- If the Terms and Conditions are amended, the Company shall determine the content of the amended Terms and Conditions and the effective date, and shall post a notice at least 7 days prior to the effective date (or 30 days for changes that are disadvantageous to the User or involve significant matters) and continue to display the notice for a reasonable period after the effective date. Additionally, the Company shall send the amended Terms and Conditions, the effective date, and the reasons for the amendment (including an explanation of the key changes) to existing members via email. The amended Terms and Conditions shall take effect on the effective date specified in the notice.
- The Maker has the right to refuse to accept the amended Terms and Conditions; however, if the Maker does not express their objection to the amended Terms and Conditions within 7 days of the effective date (or within 30 days if the changes are unfavorable to the Maker or involve significant matters), the Maker shall be deemed to have accepted the amendments to these Terms and Conditions.
Article 4 (Conclusion of the Service Agreement)
- The User Agreement is formed when a Maker agrees to these Terms and Conditions, applies for the Mate Service in accordance with the procedures established by the Company, and the Company accepts such application, following which the Maker pays the service fee. The Company may communicate its acceptance of the application via email or other means.
- The Maker must faithfully provide the Company with any information, documents, opinions, or product samples required for the provision of services within the timeframe specified by the Company. The Company may withhold or deny approval of the service application until such documents are submitted.
Article 5 (Rights and Obligations of the Company)
- The Company provides the Creator with portions of the story as agreed upon by the parties. Through a separate agreement with Mate, the Company provides the deliverables created by Mate at the Creator’s request.
- The company assists users in designating a "Mate" to access the service and provides a secure payment system for service fees.
- The Company may use information such as service usage history generated when a Maker uses the service for purposes such as compiling statistical data and applying it to the Company’s other services.
Article 6 (Rights and Obligations of the Maker)
- Makers must respond in good faith when the Company or a Mate requests information or opinions.
- Makers must actively cooperate with Wadiz and Mate’s requests during the content creation process.
- If the Creator uses the “Story Planning” or “Story Design” services, they may request revisions; the specific number of revisions is subject to Article 7.
Article 7 (Production of Deliverables)
- Mate Service offers the following services, each of which consists of individual products.
a. Story Planning
ⅰ. Analyze the project and provide a final proposal based on the story structure (specifications) provided by the company
ⅱ. The number of basic revisions is limited to two; deductions are based on the number of revision requests, not the number of changes made
b. Story filming
ⅰ. A shoot plan will be provided prior to the shoot, and the shoot duration is limited to a standard 3 hours
ⅱ. Raw footage is provided as standard, and the producer may select up to 15 edited images from among headshots, full-body shots, detail shots, and GIFs
ⅲ. For shoots involving models or locations outside the standard studio, separate consultation with the client is required
c. Story Design
i. Provide the manufacturer with a detailed page design proposal in accordance with the company’s design structure (specifications)

ⅱ. The design scope is limited to 5 pages (based on 10pt Malgun Gothic font) as outlined in the proposal; any work exceeding this limit requires separate consultation with the client
ⅲ. The number of basic revisions is limited to 2 times; the count is deducted based on the number of revision requests, not the number of revisions made
ⅳ. The designer must upload the design to the “Story Creation” tab in Maker Studio
2. The Maker is ultimately responsible for verifying the information entered by Mate on the Maker’s behalf, and Wadiz shall not be liable for any damages resulting from the Maker’s failure to verify such information.
3. The services provided by Mate Service do not include the following:
a.Consulting services related to product viability assessments and reward pricing for products intended for the project
b. Matters related to product planning and design, such as sample production and packaging design
c. Entering information in sections other than the “Story Writing” tab within Maker Studio
d. Matters related to project review (preparing required documents and responding to review feedback)
e. Other tasks outside the scope of the services listed in Section 1
Article 8 (Service Fees)
- In exchange for receiving the Mate Service, the Maker must pay the service fee in accordance with the payment method specified by the Company. The service fee will be separately notified via the service screen or other means.
- If a Maker requests work or deliverables that exceed the standard scope of the Mate Service package they have applied for, additional fees will apply. The Maker may negotiate these additional fees with the Mate. Wadiz will only facilitate the delivery of the quote prepared by the Mate and provide a secure payment system for the additional fees; it does not charge any matching fees for these additional costs beyond the standard payment processing fees.
a. Story Planning
ⅰ. If the revision request exceeds the standard number of revisions
ⅱ. If the revision request requires creative planning rather than simple edits, content additions, or reordering
iii. If a request is made to change the overall direction or concept after the proposal has been finalized
b. Story filming
ⅰ. If you request additional services such as model casting for a production, additional shoots outside the standard studio, or props
ⅱ. If you request 15 or more additional retouched photos
c. Story Design
ⅰ. If you request design work that exceeds the standard allocation
ⅱ. If a revision request exceeds the standard number of revisions
iii. When revision requests require new creative input, such as changes to the concept, fonts, or colors, or corrections of typos
ⅳ. When requesting the provision of original Illustrator or Photoshop files
3. If the Maker requests additional revisions after the final production completion date agreed upon by the Maker and Mate, costs for such revisions may apply, subject to separate consultation between the Maker and Mate.
4. If content production is not completed within the contract period due to reasons attributable to the creator or the creator’s negligence, additional costs may be incurred to extend the production period.
5. Any additional costs incurred are not covered by the Mate Service provided by Wadiz, and the Company is not involved in the provision of such additional services.
Article 9 (Termination of the Service Agreement, etc.)
- The Maker may terminate the Service Agreement by written notice or other means until the Mate delivers the deliverables. In such cases, refunds of service fees shall be governed by Article 10.
- If a Maker wishes to change their Mate while using the service, this shall be deemed equivalent to terminating the service agreement, and the Maker must resubmit an application for the Mate service.
- The Company may terminate this Agreement by providing written notice to the Maker if any of the following events occur with respect to the Maker.
a. If an application is filed for bankruptcy, reorganization, a workout, or any similar proceeding, or if a resolution is passed regarding dissolution or liquidation
b. If the Party fails to perform its obligations under this Agreement due to a provisional attachment, preliminary injunction, seizure, application for auction, or enforcement of delinquent taxes
c.
d. Where it is inappropriate to grant a cure period due to the nature of the breach, such as a material breach of the confidentiality obligations or representations and warranties under this Agreement
e. Inthe event thatwork outside the scope of services specified in this Agreementiscoercively requestedofemployees orpartner companies
f.In the event ofverbal abuse, physical assault, or other acts causing physical or mental suffering beyond reasonable limits against employees or partner companies
g. In the event of a breach of contract where the Company and Mate have requested rectification within a specified period but the breach has not been rectified within that period
Article 10 (Refund Policy)
- If the service agreement is terminated, the Company will refund a portion of the service fees to the Maker based on whether work on the Mate project has begun and its progress.
a. If the Maker issues a notice of termination before the Mate begins work, the service fee (excluding the matching fee) will be refunded
b. If the Maker’s notice of cancellation is received after the Mate has commenced work, cancellation is possible upon mutual agreement between the Maker and the Mate, provided that the cancellation fee is determined from the amount excluding the matching fee
In this case, the Company will confirm the cancellation fee through the Mate and refund the remaining amount after deducting the matching fee and cancellation fee from the service fee.
2. If you attempt to terminate this Agreement without prior consultation with Mate and the Company after the Agreement has been concluded, your refund of service fees may be restricted.
Article 11 (Standards for Dispute Resolution)
Requests for revisions and issues raised by makers during the provision of Mate Services will be handled in accordance with the guidelines below.
- The creator must compile all revisions into a single file containing text and images and submit it to the designer. Any revision requests submitted separately will not be addressed. Additionally, requests regarding typos, photography errors, design errors, or issues where previously requested changes were not implemented will not be counted toward the revision limit.
- Any comments regarding the content made by Mate and other relevant parties (such as the director in charge) are to be considered suggestions and advice; the final decision-making authority rests with the creator.
- If a Maker’s request for modifications falls outside the scope of services provided, the Mate may refuse the modification or charge an additional fee. Wadiz will not intervene in any modifications agreed upon between the Maker and the Mate, even if they fall outside the scope of services provided.
- As a general rule, reshoots are not permitted. However, you may request a reshoot in cases where Mate is clearly at fault (e.g., use of a model not agreed upon in advance, results that differ significantly from the shooting references provided by the client, or failure to capture elements specified in the proposal).
Article 12 (Confidentiality and Protection of Personal Information)
- The Company and the Maker may not disclose or reveal to any third party any business secrets learned in the course of performing their duties under these Terms and Conditions.
- The Company shall use the personal information of the Maker or third parties received from the Maker solely for the purposes of this Agreement and shall not disclose such information to any outside parties or use it for any other purpose.
- The Company and the Maker must comply with the provisions of relevant laws and regulations, including the Personal Information Protection Act and the Act on Promotion of Information and Communications Network Utilization and Information Protection, etc.
- The obligations set forth in paragraph 1 of this Article shall remain in effect for three years following the termination or expiration of this Agreement.
Article 13 (Compensation for Damages)
- If the Maker causes damage to the Company, a Mate, or a third party by violating these Terms and Conditions due to the Maker’s own fault, the Maker shall be liable for such damages.
- If, in connection with the Maker’s obligations under these Terms, the Company receives a claim for damages or other objection from a third party through litigation or other means, through no fault of the Company, the Company may notify the Maker of such fact, and the Maker shall actively cooperate in resolving the matter by providing all materials and information necessary to defend the Company, and shall compensate the Company for any damages incurred as a result.
- If a party is unable to fulfill its obligations under these Terms and Conditions despite having exercised its best efforts due to force majeure, accidents, actions by government agencies, or other circumstances deemed unavoidable under generally accepted social norms, such party shall not be liable for damages or other liabilities arising from such circumstances; however, even in such cases, the parties shall make every effort to devise measures to achieve the objectives of these Terms and Conditions.
Article 14 (Intellectual Property Rights)
- The Maker retains all rights to the deliverables provided through the Service, but grants the Company or Mate the right to use such deliverables in accordance with these Terms and the Wadiz Maker Terms of Service.
a. Mates may use the results or deliverables generated through the provision of services in their portfolios or similar materials.
However, such materials must not contain any exaggerated, false, or misleading information.
2. The Maker may not use the Company’s trademarks, logos, service marks, images, text, symbols, or any other intellectual property beyond the scope necessary to fulfill the obligations specified in the Company’s Terms of Service without the Company’s prior written consent.
Article 15 (Governing Law)
- In the event of any dispute regarding the terms of this User Agreement, the governing law shall be the laws of the Republic of Korea, and any disputes or litigation arising between the Company and the Maker in this regard shall be resolved in the competent court under the Civil Procedure Act.
